This Non-Disclosure Agreement (“Agreement”) is entered into as of the date below, by and between Ansley Real Estate, located at  (“Disclosing Party”), and party listed below. The purpose of this Agreement is to allow the Disclosing Party to share certain confidential, proprietary, or sensitive information with the Receiving Party for the purpose of evaluating a potential real estate transaction or business relationship. The confidential information may include, but is not limited to, financial statements, property details not publicly available, seller or buyer motivations, transaction terms, marketing strategies, and other business information (“Confidential Information”). The Receiving Party agrees to maintain the confidentiality of such information, to use it solely for the stated purpose, and not to disclose it to any third party without the prior written consent of the Disclosing Party. The Receiving Party will take reasonable measures to protect the Confidential Information and will return or destroy all materials upon request. This Agreement does not apply to information that is publicly available through no fault of the Receiving Party, is lawfully received from a third party, or is independently developed. This Agreement does not grant any license or rights under any intellectual property and does not obligate either party to proceed with any transaction. The Agreement shall remain in effect for two (2) years from the date signed or until the Confidential Information no longer qualifies as confidential, whichever occurs first. This Agreement shall be governed by the laws of the State of [Your State].
